Acceptance of Terms and Conditions HR4Golf.com provides this Web Site and the Web-based application featuring a proprietary software and e-mail system for referral services with multiple generational referral functionality, along with all related content and services (collectively, "Services"). Our Services may be used by Direct Hiring Employers (Golf Clubs and Organization that hire Golf Professionals) among other things; they will post employment opportunity listings ("Listings") and offer Referral Rewards related to such Listings. Subject to compliance with the terms and conditions set forth in these Terms of Use ("Terms"), our Services may also be used by: <ol type=a> <li>Authorized employees of such Employers to distribute the Listings to the site <li>Individuals / Candidates seeking new jobs who respond to Listings by applying to such Listings (collectively, "Users" or "you") by contacting Employers directly via e-mail (applying on-line), and <li>By other "Job seeking" Individuals / Candidates who were referred by other Individuals / Candidates </ol> By accessing, downloading content from, submitting information or materials to or through, browsing or otherwise using our Services, you agree to be bound by these Terms and any additional rules and restrictions applicable to particular Listings or Employers. If you do not agree to these Terms, please do not use the Services. You must also be at least 18 years old to use the Services. If you are not at least 18 years old please do not access or use the Services. We reserve the right at any time to change the following in the manner described: TERMS Add to, modify or otherwise change these Terms. SERVICES Add to, modify or otherwise change the Web Site or the Services, including without limitation, eliminating or discontinuing any content, service, or feature of the Services. LISTINGS Reject, remove, add or change any Listing from the Services at any time. Any changes that we make will be effective immediately upon notice, and the revised Terms will be available on our Web Site and/or through links sent via electronic mail. Your use of the Services after such notice will be deemed acceptance of such changes. You should review these Terms periodically to ensure familiarity with the most current version of the Terms and whenever you submit or respond to a Listing, since you will be bound by the Terms then in effect at the time of your use. Upon our request, you agree to sign a non-electronic version of these Terms. User Acknowledgements and Responsibilities Responding to Listings If you respond to a Listing by referring another Individual or by contacting the Listing entity, you acknowledge and agree that: <ul> <li>You are not entitled to any payment for a Referral Reward or otherwise unless you use the Services to apply on-line directly to a position or forward a referral and otherwise comply fully with the instructions contained in the Listing posted on the web site (and of course you or someone in your referral chain is hired) and that hire meets the necessary payment prerequisites. <li>You shall submit only accurate information to HR4Golf.com or to persons or entities contacted through use of the Services and in connection with all Listings; <li>You shall not post, transmit or use any false or materially misleading information or any information that you do not have a right to post or transmit, whether because of a contractual obligation (such as a confidentiality or non-disclosure agreement) or otherwise in connection with use of the Web Site or the Services; <li>You are fully responsible for the payment of any taxes in connection with any payment(s) made to you by an Employer or HR4Golf.com; and <li>You will refer all questions regarding the Services to HR4Golf.com. </ul> Submissions to HR4Golf.com You understand and agree that you are solely responsible for the content and accuracy of any information provided to HR4Golf.com or to Employers in connection with your use of the Services, including without limitation, any information or materials that you submit, upload, or otherwise provide to HR4Golf.com, Employers, other Users of the Services or third parties ("Submissions"). You understand and agree that HR4Golf.com has the right to use your Submissions as necessary to operate the Services. You represent, warrant and covenant to HR4Golf.com (a) that such Submissions will not infringe, violate or conflict with any right of any third party in any manner or to any extent whatsoever, and (b) that you have the authority and right to use and submit such Submissions in connection with your use of the Services, and (c) if you are acting on behalf of another person or entity, that you have the authority to act on behalf of such entity or person. <a name="indresp"></a> Individuals / Candidates Operational Responsibilities <ol> <li> Upon a successful placement, tax ID #'s and / or social security #'s must be provided so that checks can be disbursed after the proper tax forms are filled out and submitted back to HR4Golf.com. <ul> <li type=disc>Each Individual is responsible for their own income tax reporting requirements. </ul> <li>Notification and acknowledgement that all their moves within the site are tracked to assure adherence to our "Terms & Conditions." <li>All Candidates must notify HR4Golf.com via e-mail of any: <ul> <li>Job offers / acceptances obtained through the use of the HR4Golf.com Web Site, indicating <ul type=disc> <li>Company <li>Position Title <li>Salary <li>Start Date <li>Guarantee Period </ul> This is necessary so that the proper disbursements from the Company regarding the Referral Rewards is adhered to. </ul> <li>HR4Golf.com should be notified if an Individual feels that a job being posted is not "real" and has solid information or feedback to support the notification. Ownership and Restrictions on Use Web Site and Services HR4Golf.com authorizes you to use the Services only for the purpose of locating, referring and/or applying as, a Candidate for Listings that are posted on the Web Site. Ownership All materials including text, logos, graphics, photographs, video clips, images, button icons, sounds, audio clips, software and other items displayed and distributed as part of the Web Site or the Services (the "Materials") are the property of HR4Golf.com or of the party supplying such information to HR4Golf.com, and are protected by U.S. and international copyright, trademark, service mark and other laws. The compilation of the Materials (meaning the collection, arrangement and assembly of the Materials) is the exclusive property of HR4Golf.com and is protected by U.S. and other copyright laws. "HR4Golf.com," and it's picture logo, are trademarks of HR4Golf.com. Restrictions Except as expressly authorized herein, you may not copy, reproduce, republish, upload, post, sell, distribute, download or transmit materials from the Web Site or the Services in any way. You further agree not to decompile, disassemble or reverse engineer any Materials or other elements of the Web Site or the Services, or to attempt to do so. HR4Golf.com is not involved in the actual transaction between Employers and Candidates. As a result, HR4Golf.com has no control over the quality, safety or legality of the jobs or resumes posted, the truth or accuracy of the listings, the ability of Employers to offer job opportunities to Candidates or the ability of Candidates to fill job openings. In addition, note that there are risks, including but not limited to the risk of physical harm, of dealing with strangers, foreign nationals, underage persons or people acting under false pretenses. You assume all risks associated with dealing with other users with whom you come in contact through the Web Site. Because user authentication on the Internet is difficult, HR4Golf.com cannot and does not confirm that each user is who they claim to be. In all situations where disputes arise, HR4Golf.com will act as the arbitrator and have the final say in determining the outcome of disputed situations. You acknowledge and agree that HR4Golf.com is not responsible, and shall not be to any party, for breach by you or any other employment Candidate of any non-solicitation, non-competition or other similar agreement, or any employment agreement or arrangement. You agree and acknowledge that your use, and participation in the use, of the Services shall not give rise to any confidential, fiduciary, implied-in-fact, implied-in-law, contractual or other special relationship between you and HR4Golf.com (other than the relationship between HR4Golf.com and you entered into by virtue of your agreement to these Terms). Disputes; Release In the event that an Individual, an Employer or any third party makes a claim against HR4Golf.com or otherwise disputes the payment of a Referral Reward or any portion thereof, HR4Golf.com will provide verification through records that said Employer or HR4Golf.com if that being the case has paid such Referral Rewards in accordance with the HR4Golf.com payment parameters, if such payment has been made in accordance with such parameters, HR4Golf.com will refer all parties to such claims or disputes to such Employer for resolution, and such Employer shall be solely responsible for resolving such disputes. You further agree to release HR4Golf.com from any liability or responsibility arising out of an Employer's decision to interview or hire you, or any third party, and you shall assume all risks associated therewith, including without limitation, the risk of physical harm and all risks associated with seeking and obtaining employment. All materials furnished by Employers, including job descriptions, Employer policies and employment agreements are and shall remain the sole responsibility of such Employer. You hereby release HR4Golf.com from any responsibility or liability for any costs or expenses that you may incur or have incurred in connection with applying for, interviewing with, or accepting employment with an Employer located through use of the Services, whether or not you are ultimately offered, accept, or work for such Employer, including without limitation, any liability associated with the use of Submissions or with the breach of any employment contract, or non-solicitation or non-competition provision thereof. Indemnity You hereby agree to defend, indemnify, and hold harmless HR4Golf.com and its officers, directors, employees, and agents, from and against any and all demands, liabilities, judgments, damages, losses, costs, expenses, claims and settlements (including without limitation reasonable legal fees and expenses), arising out of, resulting from or in any way connected with (a) any breach by you of any of these Terms or any terms of any other agreement between you and HR4Golf.com or (b) any action taken by you with respect to (including, without limitation, any application or interview process engaged in or acceptance of employment by you with respect to) any Listing or Employer to which you were introduced by means of the Services. Privacy The privacy commitment on the Web Site represents the policy of HR4Golf.com only. You acknowledge, understand and agree to cooperate with our policies with respect to the collection and use of personal information, including Submissions, as set forth in our Privacy Commitment (see Privacy Commitment). Links to Third-Party Web Sites HR4Golf.com MAY FROM TIME TO TIME PROVIDE LINKS TO THIRD-PARTY WEB SITES FROM OUR WEB SITE OR IN CONNECTION WITH OUR SERVICES.
